Terms of service

1. Agreement

These terms govern use of the ClearBGV website and, where no separate signed agreement applies, the provision of verification services by ClearBGV ("ClearBGV"). Where a signed master services agreement exists between us, that agreement prevails over these terms to the extent of any conflict.

By using this site or engaging our services, you accept these terms.

2. Our services

ClearBGV performs employment, education, criminal, court, address, identity and reference verification as instructed by the client. Scope, volume, pricing and service levels are set out in the applicable order form or agreement.

We perform verifications with reasonable skill and care using sources we judge reliable. We report what those sources tell us; we do not warrant that a source is itself accurate or complete.

3. Client obligations

• Obtain valid, informed, documented consent from every candidate before instructing a check
• Provide accurate candidate information and any documentation needed to run the check
• Use reports solely for the employment decision they were commissioned for
• Comply with all applicable employment, anti-discrimination and data protection law
• Keep portal credentials and API keys confidential and notify us of any compromise
• Not share, resell or republish reports to any third party without our written consent

4. Candidate consent

The client is the Data Fiduciary and is responsible for obtaining and evidencing candidate consent. ClearBGV may suspend or decline a check where consent is absent, unclear, or has been withdrawn.

5. Reports and decisions

A ClearBGV report is a statement of what verification sources confirmed as at the date of the check. It is not a recommendation, and it is not an instruction to hire or reject.

The hiring decision, and responsibility for it, rests entirely with the client. Clients must give candidates a fair opportunity to respond to an adverse finding before acting on it.

6. Confidentiality

Each party will keep the other’s confidential information secure and use it only for the purposes of the engagement. This obligation survives termination.

7. Intellectual property

ClearBGV retains all rights in its platform, methodology, report formats, documentation and this website. The client receives a non-exclusive right to use reports for their internal employment decisions. Nothing transfers ownership.

8. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or goodwill.

Our total aggregate liability arising out of or in connection with the services is limited to the fees paid by the client in the twelve months preceding the claim.

Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded.

9. Indemnity

The client indemnifies ClearBGV against claims arising from the client’s failure to obtain valid candidate consent, misuse of a report, or breach of applicable law.

10. Term and termination

Either party may terminate for material breach that remains uncured 30 days after written notice, or immediately on insolvency. On termination we complete or cancel checks in flight as instructed, and handle data in line with the agreed retention and deletion terms.

11. Website use

This website is provided for information. You may not attempt to gain unauthorised access to it, disrupt it, scrape it at scale, or use it in any unlawful way. Content is provided without warranty as to accuracy or availability.

12. Governing law and jurisdiction

These terms are governed by the laws of India. The courts at Gautam Buddha Nagar, Uttar Pradesh have exclusive jurisdiction, subject to any arbitration clause in a signed agreement between the parties.
